Terms of Service

Welcome to FitFights. These Terms of Service ("Terms") govern your access to and use of the FitFights application and website at fitfights.com, operated by Kalio Studio, LLC, doing business as FitFights ("Kalio Studio," "we," "us," or "our").

By accessing or using FitFights, you agree to be bound by these Terms. If you do not agree to these Terms, do not use FitFights.

1. Eligibility

You must be at least 13 years old to use FitFights. If you are between 13 and 17 years old, you must have the consent of a parent or legal guardian to use the service. By creating an account, you represent that you meet these age requirements and, if between 13 and 17, that you have obtained the required parental consent.

You must have the legal capacity to enter into a binding agreement. If you are creating an account on behalf of a minor in your care, you accept these Terms on their behalf and are responsible for their use of FitFights.

Accounts are personal and non-transferable. You may not create an account on behalf of another person or transfer your account to anyone else.

2. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete information when creating your account
  • Keep your account credentials confidential and not share them with others
  • Maintain only one account per person
  • Not impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Notify us immediately at support@fitfights.com if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.

3. User Content and License

FitFights allows you to upload exercise battle videos and other content ("User Content"). You retain ownership of your User Content.

By uploading User Content to FitFights, you grant Kalio Studio, LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, create derivative works from, publicly display, publicly perform, and distribute your User Content for the purposes of operating, improving, and promoting FitFights.

This license is granted for as long as your content remains on FitFights. When you delete your content or close your account, this license ends with respect to that content — except for content that has already been shared publicly (such as a finalized battle result), which may remain accessible to other users for a reasonable period.

By uploading User Content, you represent and warrant that:

  • You own the content or have the rights necessary to grant the above license
  • The content does not infringe the copyright, trademark, privacy, or other rights of any third party
  • All persons who appear in your videos have consented to being filmed and to the distribution of those recordings on FitFights
  • The content complies with these Terms

We may (but are not obligated to) review, monitor, and remove User Content at our sole discretion, including content that violates these Terms or that we determine is harmful, offensive, or otherwise objectionable.

4. Prohibited Conduct

You agree not to use FitFights to:

  • Upload content you do not have the right to share, including copyrighted material you don't own
  • Upload content that depicts minors in any sexual, unsafe, or exploitative manner
  • Harass, threaten, intimidate, or bully other users
  • Impersonate any person or entity, or falsely claim an affiliation
  • Spam other users or use automated tools to scrape or interact with the platform
  • Attempt to gain unauthorized access to our systems or another user's account
  • Upload videos that depict dangerous exercise practices without appropriate safety warnings
  • Use FitFights for any unlawful purpose or in violation of any applicable law or regulation

Violation of these rules may result in content removal, account suspension, or permanent termination.

5. Health and Fitness Disclaimer

FitFights is a fitness competition platform, not a medical service. The exercise activities featured on FitFights are performed by users voluntarily and are not supervised, verified, or endorsed by Kalio Studio, LLC. The content available on FitFights is for informational and entertainment purposes only and does not constitute medical advice, diagnosis, or treatment.

Before beginning any new exercise program, consult a qualified healthcare provider. You participate in all physical activities at your own risk. Kalio Studio, LLC is not liable for any injury, illness, disability, or other harm — physical or otherwise — resulting from participation in or reliance upon any activities shown, described, or suggested by FitFights or its users.

6. Intellectual Property

The FitFights name, logo, design, interface, and underlying code are owned by Kalio Studio, LLC and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or other proprietary materials.

If you submit feedback, suggestions, or ideas about FitFights to us, you agree that we may use that feedback without compensation or attribution to you.

7. DMCA and Copyright Policy

Kalio Studio, LLC respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA").

Reporting copyright infringement: If you believe your copyrighted work has been posted on FitFights without authorization, send a written notice to our designated DMCA agent:

Your notice must include:

  1. Identification of the copyrighted work you claim has been infringed
  2. Identification of the infringing material on FitFights (URL or specific location)
  3. Your contact information (name, address, phone number, email)
  4. A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law
  5. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
  6. Your physical or electronic signature

Counter-notice: If you believe your content was removed by mistake, you may submit a counter-notice to dmca@fitfights.com that includes your contact information, identification of the removed content, a statement under penalty of perjury that you believe the content was removed by mistake, your consent to the jurisdiction of a U.S. federal court, and your signature.

Repeat infringers: We will terminate the accounts of users who are determined to be repeat copyright infringers.

8. Third-Party Services

FitFights integrates third-party services including Firebase (Google LLC), Amazon CloudFront, and Vercel. Your use of these services is governed by their respective terms of service and privacy policies. We are not responsible for the practices of any third-party service providers.

9. Advertising and Sponsored Content

FitFights is currently free and does not display advertising. We may introduce advertising, sponsored content, or partner promotions in the future. Any such content will be clearly identified as advertising or sponsored. Your continued use of FitFights after advertising is introduced constitutes your acceptance of that change.

10. DISCLAIMER OF WARRANTIES

THE FITFIGHTS SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT ON THE SERVICE IS ACCURATE OR COMPLETE.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KALIO STUDIO, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR SYSTEM FAILURE — EVEN IF KALIO STUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL KALIO STUDIO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF FITFIGHTS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID KALIO STUDIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).

The above limitations do not apply to:

  1. Liability arising from Kalio Studio's gross negligence, willful misconduct, or fraud
  2. Claims under the Colorado Consumer Protection Act (C.R.S. § 6-1-105) that cannot be waived by contract
  3. Death or personal injury caused by Kalio Studio's negligence
  4. Any liability that applicable law (including EU/UK consumer law for those users) prohibits from being limited

12. Indemnification

You agree to defend, indemnify, and hold harmless Kalio Studio, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with: (a) your access to or use of FitFights; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles.

Before filing any legal claim against Kalio Studio, you agree to first contact us at support@fitfights.com and attempt to resolve the dispute informally. We will have 30 days to attempt informal resolution. If the dispute is not resolved within 30 days, either party may pursue their claims in court.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Colorado, USA, and you consent to the personal jurisdiction of those courts.

Important notice for international users: Notwithstanding the above, nothing in these Terms limits, waives, or overrides any rights you may have under the mandatory consumer protection laws of your jurisdiction that cannot be waived or altered by contract. If you are a resident of the European Union or United Kingdom, your rights under applicable EU or UK consumer protection law and the General Data Protection Regulation (GDPR) are not affected by these Terms.

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you via push notification or in-app notice before the changes take effect. Your continued use of FitFights after changes become effective constitutes your acceptance of the updated Terms.
